about these terms/

Our terms of business

These terms apply to every service Cirrus Design Studio Ltd provides: website design and development (bespoke and on Wix), bespoke business software and systems, legacy system conversion, hosting, support and maintenance, and digital marketing including Google Ads and SEO. They also cover your use of this website. Please read them before you accept a quotation.

Cirrus Design Studio Ltd is a company registered in England and Wales (company number 11833982). In these terms, “we”, “us” and “our” mean Cirrus Design Studio Ltd, and “you” means the business or person we provide services to.

1. quotations and orders/

Quotations, proposals and the agreement

We will give you a written quotation or proposal setting out the work, the price and the expected timescale. A quotation is valid for 30 days unless it says otherwise.

The agreement between us starts when you accept the quotation in writing (email is fine) or pay the deposit. The quotation and these terms together form the whole agreement; if they conflict, the quotation takes priority.

Work that isn’t described in the quotation is outside its scope. We will always tell you before starting anything that would cost more, and agree it with you in writing first.

2. fees and payment/

Fees and payment

  • Projects: unless the quotation says otherwise, we ask for a 50% deposit before work starts, with the balance due on completion and before the work goes live or is handed over.
  • Larger projects may be invoiced in stages, as set out in the quotation.
  • Ongoing services (hosting, support, maintenance and marketing management) are invoiced monthly or annually in advance.
  • Invoices are payable within 14 days of the invoice date. Prices are shown excluding VAT, which is added where it applies.
  • Late payment: if an invoice is overdue, we may pause work or suspend services until it is paid, and for business clients we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Third-party costs such as Wix plans and apps, domain names, licences and Google Ads spend are paid by you, directly to the provider wherever possible.

3. your responsibilities/

What we need from you

To deliver on time we need your help. You agree to:

  • give us accurate information and timely decisions and feedback
  • supply content, images, logins and access we ask for
  • make sure you have the right to use anything you give us, including text, images, logos and data
  • check and approve work at each agreed stage
  • keep your own passwords and accounts secure
  • tell us promptly about any problem you find

If a project is delayed because we are waiting on you, we may adjust the timescale. If a project is put on hold by you for more than 60 days, we may invoice the work completed so far.

4. delivery and changes/

Delivery, changes and sign-off

Timescales in a quotation are our best estimate and depend on the information and approvals we receive from you. We will keep you informed of progress and tell you early if anything changes.

Each quotation includes the rounds of revisions it describes. Further changes, or changes to the agreed scope, are charged at our standard rates or quoted separately.

When the work is ready, we will ask you to review and sign it off. Work is treated as accepted when you approve it, put it into live use, or do not raise any issue within 14 days of delivery.

5. ownership/

Intellectual property: you own what you pay for

When you have paid in full, you own the bespoke work we created specifically for you: your website design, the source code of your bespoke system, and the content we wrote for you. There are no per-seat or ongoing licence fees for bespoke software you own.

Some work relies on things we did not create for you alone, such as our own reusable tools, code libraries and frameworks, open-source software, and third-party platforms. We keep ownership of our own tools and give you a permanent licence to use them as part of your project. Third-party and open-source items stay subject to their own licences.

Until you have paid in full, the work remains ours. We may mention the project in our portfolio and marketing, unless you ask us not to.

6. third-party platforms/

Wix, Google and other third-party services

  • Wix websites are built on the Wix platform and are subject to Wix’s own terms. We set your site up in an account you own or control. We are not responsible for changes Wix makes to its platform, pricing or features.
  • Google Ads and digital marketing: advertising budgets are paid by you directly to Google. Search rankings, traffic and advertising results depend on many things outside our control, so while we work to agreed goals and report honestly, we cannot guarantee particular positions or results.
  • Domains, hosting and email provided by third parties are subject to their terms. Where we register a domain for you, it is registered in your name.

7. hosting and support/

Hosting, support and warranty

After launch, we fix any fault in our work that you report within 30 days at no charge. This does not cover changes to the agreed scope, problems caused by others changing the work, or issues with third-party platforms and services.

Hosting, support and maintenance are provided under a separate monthly or annual arrangement, as set out in your quotation. We take reasonable steps to keep systems available, secure and backed up, but cannot guarantee uninterrupted service, and we are not responsible for outages of third-party providers.

Ongoing services continue until either of us ends them with 30 days’ written notice. When a hosting or support arrangement ends, we will help you move your website or system elsewhere and give you a copy of your data and the code you own.

8. legacy systems/

Legacy system conversion

When we convert or replace an older system, we will assess it first and agree what will be moved across. Old systems sometimes contain incomplete or inconsistent data and undocumented rules; we will tell you about anything we find and agree how to handle it. You remain responsible for keeping your existing system and its data until you have accepted the new one.

9. liability/

Our liability to you

We carry out all work with reasonable care and skill. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Otherwise, for business clients:

  • we are not liable for loss of profits, revenue, business, data or goodwill, or for any indirect or consequential loss;
  • our total liability under any agreement is limited to the fees you paid us under it in the 12 months before the claim arose.

If you are a consumer, these limits do not affect your statutory rights.

10. confidentiality and data/

Confidentiality and data protection

We keep your business information confidential and only use it to deliver our services. Where we handle personal data on your behalf (for example, in a system we build or host for you), we act as your data processor, follow your instructions, and keep it secure in line with UK GDPR. Everything we build is developed by our own UK team.

How we handle your own personal data is set out in our cookies and privacy policy.

11. cancellation/

Cancellation and ending the agreement

You can cancel a project at any time by telling us in writing. You will pay for the work done up to that point and any third-party costs already committed; the deposit covers the work done first and is non-refundable once work has started.

If you are a consumer, you may cancel within 14 days of accepting our quotation under the Consumer Contracts Regulations 2013. If you ask us to start work within those 14 days, you will pay for the work done before you cancel.

Either of us may end the agreement straight away if the other seriously breaks these terms and does not put it right within 14 days of being asked, or becomes insolvent.

Using this website

13. general/

General

Neither of us is responsible for delays caused by events beyond our reasonable control. We may update these terms from time to time; the version in force when you accept a quotation applies to that work. If any part of these terms is found to be unenforceable, the rest still applies.

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction over any dispute.
